Walkeazy Terms of Service

Effective Date: June 1, 2026

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Walkeazy (“Walkeazy,” “we,” “us,” or “our”) governing your access to and use of the Walkeazy mobile application, website, and related services (collectively, the “Services”).

BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USE OF THE SERVICES.

1. ELIGIBILITY AND ACCOUNT REGISTRATION

You represent and warrant that:

You are at least thirteen (13) years of age
If you are under eighteen (18) years of age, you have obtained the consent of a parent or legal guardian
All information you provide is accurate, current, and complete

You agree to maintain the confidentiality of your account credentials and accept responsibility for all activities under your account.

2. DESCRIPTION OF SERVICES

Walkeazy provides a technology platform that enables users to connect with independent third-party individuals (“Monitors”) for the purpose of real-time remote monitoring, including but not limited to:

Live audio streaming
Live video streaming
Real-time location tracking

Walkeazy does not itself provide monitoring services and does not employ Monitors.

3. NO EMERGENCY OR SECURITY SERVICES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU ACKNOWLEDGE AND AGREE THAT:

WALKEAZY IS NOT A SECURITY SERVICE, LAW ENFORCEMENT AGENCY, OR EMERGENCY RESPONSE PROVIDER
WALKEAZY DOES NOT PROVIDE MEDICAL, LEGAL, OR PROFESSIONAL ADVICE
WALKEAZY DOES NOT GUARANTEE YOUR SAFETY OR THE PREVENTION OF HARM

THE SERVICES ARE PROVIDED SOLELY AS A SUPPLEMENTAL TOOL AND MUST NOT BE RELIED UPON AS A SUBSTITUTE FOR EMERGENCY SERVICES.

4. INDEPENDENT THIRD-PARTY MONITORS

You acknowledge and agree that:

Monitors are independent contractors and not employees, agents, or representatives of Walkeazy
Walkeazy does not control, supervise, or direct the actions of Monitors in real time
Walkeazy does not guarantee:
- The availability of Monitors
- The timeliness of responses
- The accuracy of observations
- The appropriateness of any actions taken

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALKEAZY DISCLAIMS ALL LIABILITY ARISING FROM THE ACTS OR OMISSIONS OF MONITORS.

5. USER CONSENT TO MONITORING

By initiating a monitoring session, you expressly consent to:

The sharing of your real-time location
The transmission of live audio and video
Access to such data by a Monitor

You further acknowledge that:

A Monitor may contact emergency services or your designated contacts
Walkeazy does not control or guarantee such actions

6. EMERGENCY FEATURES AND LIMITATIONS

In the event that an emergency feature is activated:

Sessions may be recorded and stored for a limited period
Monitors may attempt to contact emergency services

HOWEVER, YOU ACKNOWLEDGE THAT:

Emergency services may not be contacted
Responses may be delayed or ineffective
Walkeazy has no control over emergency responders

YOU AGREE THAT WALKEAZY SHALL NOT BE LIABLE FOR ANY FAILURE OR DELAY IN EMERGENCY RESPONSE.

7. FEES, PAYMENTS, AND BILLING

The Services may include paid features, including subscription plans and usage-based fees.

Payments are processed through Stripe
Walkeazy does not store payment card information

You agree that:

All fees are due and payable as specified
Fees are non-refundable except where required by law
Walkeazy may modify pricing at any time with notice

8. PROHIBITED USE

You agree not to:

Use the Services for unlawful purposes
Harass, abuse, or harm Monitors or other users
Misuse or exploit the platform
Attempt to interfere with system integrity

Walkeazy reserves the right to suspend or terminate access for violations.

9. TERMINATION

Walkeazy may suspend or terminate your account at any time, with or without notice, for any reason including but not limited to violations of these Terms or concerns regarding safety.

10. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT

Walkeazy does not warrant that the Services will be uninterrupted, secure, or error-free.

11. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT SHALL WALKEAZY OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, DATA, OR USE
PERSONAL INJURY OR DEATH
PROPERTY DAMAGE

ARISING OUT OF OR RELATED TO:

YOUR USE OF THE SERVICES
YOUR INTERACTIONS WITH MONITORS
ANY FAILURE OR DELAY IN MONITORING OR EMERGENCY RESPONSE

LIABILITY CAP

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALKEAZY’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

THE AMOUNT PAID BY YOU TO WALKEAZY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR
ONE HUNDRED CANADIAN DOLLARS (CAD $100)

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Walkeazy from and against any claims, damages, losses, liabilities, and expenses arising out of or related to:

Your use of the Services
Your violation of these Terms
Your interactions with Monitors

13. THIRD-PARTY SERVICES

The Services may rely on third-party providers, including:

Stripe
Supabase
Clerk

Walkeazy is not responsible for the performance or availability of such third-party services.

14. FORCE MAJEURE

Walkeazy shall not be liable for any failure or delay resulting from causes beyond its reasonable control, including but not limited to:

Natural disasters
Internet outages
Government actions
Acts of terrorism
System failures

15. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Province of Manitoba and the laws of Canada applicable therein.

16. DISPUTE RESOLUTION

You agree to first attempt to resolve any dispute informally by contacting Walkeazy.

You agree to first attempt to resolve any dispute, claim, question, or disagreement arising out of or relating to these Terms or your use of the Walkeazy platform informally by contacting Walkeazy at admin@walkeazy.com.

If a dispute cannot be resolved informally within thirty (30) days, the dispute shall be resolved by binding arbitration rather than in court, except that either party may bring an individual claim in small claims court if eligible.

Arbitration shall be conducted in the Province of Manitoba, Canada, unless otherwise agreed by the parties, and shall be administered by a recognized arbitration service in accordance with its applicable rules. The arbitration shall be conducted by a single arbitrator. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You agree that disputes will be resolved on an individual basis only and not as part of any class action, consolidated action, or representative proceeding.

Nothing in this section limits either party’s right to seek injunctive or equitable relief in a court of competent jurisdiction for matters relating to intellectual property, confidentiality, data security, or unauthorized access to the Services.

To the fullest extent permitted by applicable law, you waive any right to a trial by jury or participation in a class action lawsuit.

If any portion of this arbitration clause is found unenforceable, the remaining portions shall remain in full force and effect.

17. CHANGES TO TERMS

Walkeazy reserves the right to modify these Terms at any time. Continued use of the Services constitutes acceptance of such changes.

18. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Walkeazy regarding the Services and supersede all prior agreements.
